  • Make timely payments as agreed.
  • Maintain backups independently.

4. Fees and Payment

  • Fees as per proposal or SOW, excluding taxes.
  • Payments through Bank Transfer.
  • Late payments incur interest or suspension of services.

5. Intellectual Property Rights

  • Client owns provided materials.
  • We retain rights to our pre-existing tools and methods.
  • IP for custom deliverables transferred post full payment.
  • We get license to use client materials solely for service delivery.

6. Confidentiality

Both parties will protect each other's non-public information and not disclose it unless required.

7. Warranties and Disclaimers

We provide services professionally but disclaim warranties regarding uninterrupted or error-free operation.

8. Limitation of Liability

We are not liable for indirect damages. Total liability is capped at the total fees paid in the last 12 months.

9. Indemnification

You agree to indemnify us against any losses from your use of services or breach of Terms.

10. Termination

Either party may terminate with notice. On termination, rights cease and relevant clauses survive.

11. Governing Law and Jurisdiction

Governed by Indian law, jurisdiction at Ghaziabad, Uttar Pradesh.

Disputes to be resolved amicably, then through mediation or litigation in Ghaziabad.
